These Terms and Conditions govern the supply of goods and services by Indigo Projects Limited (trading as Indigo Sign Solutions). By engaging our services or placing an order, you agree to be bound by these Terms.
1. About Us
Indigo Projects Limited (trading as Indigo Sign Solutions) is a signage and graphics company operating across the United Kingdom. Our services include the design, supply and installation of signage and graphics for commercial clients.

2. Definitions
- "Company" / "we" / "us" refers to Indigo Projects Limited (trading as Indigo Sign Solutions)
- "Customer" / "you" refers to the person or organisation engaging our services
- "Goods" refers to signage, graphics and related products supplied by us
- "Services" refers to design, project management, installation and related services provided by us
- "Order" refers to your request for Goods and/or Services
- "Contract" refers to the agreement formed when we accept your Order
3. Basis of Contract
All Orders placed with Indigo Projects Limited (trading as Indigo Sign Solutions) are subject to these Terms. A Contract is formed when we issue written acceptance of your Order or commence supply of the Goods or Services, whichever is earlier.
Any quotation provided by us is valid for 30 days from the date of issue and does not constitute an offer. We reserve the right to withdraw or amend a quotation prior to acceptance.
These Terms apply to the exclusion of any other terms the Customer seeks to impose, including any terms referenced in purchase orders or other documents.
4. Orders and Specifications
The Customer is solely responsible for ensuring the accuracy of any Order, including specifications, dimensions, copy, logos, colours and any design information provided. Once a design or proof has been signed off by the Customer, Indigo Projects Limited (trading as Indigo Sign Solutions) accepts no responsibility for errors in the approved artwork.
Where Goods are to be manufactured to a Customer-supplied specification, the Customer warrants that such specification does not infringe any third-party intellectual property rights and shall indemnify us against any claims arising therefrom.
5. Pricing and Payment
All prices quoted are exclusive of VAT, which will be charged at the prevailing rate. Prices are subject to change prior to Order acceptance.
Unless otherwise agreed in writing, payment terms are 30 days from date of invoice. Time for payment is of the essence. We reserve the right to charge interest on overdue amounts at 3% per annum above the Bank of England base rate.
We may require a deposit prior to commencing work on bespoke or large-scale projects. No Order that has been accepted may be cancelled except with our written agreement, and the Customer shall remain liable for costs incurred up to the point of cancellation.
6. Delivery and Installation
Any dates quoted for delivery or installation are estimates only. Time is not of the essence unless expressly agreed in writing. We shall not be liable for delays caused by circumstances beyond our reasonable control.
The Customer must ensure that suitable access, fixings and a safe working environment are available for installation. Where site conditions are inadequate, we reserve the right to reschedule at the Customer's cost.
Risk in Goods passes to the Customer upon delivery. Title in Goods shall not pass until payment is received in full.
7. Quality and Warranty
We warrant that Goods will conform in all material respects with their agreed specification at the time of delivery, and that Services will be performed with reasonable care and skill.
Any defects must be notified to us in writing within 7 days of delivery or installation. We will not be liable for defects arising from:
- Failure by the Customer to follow our care and maintenance guidance
- Wilful damage, abnormal conditions, weather or environmental exposure beyond expected norms
- Modifications or repairs carried out without our written consent
- Customer-supplied designs or specifications
- Fair wear and tear
8. Planning Applications
Where we assist with planning applications for signage, we will use reasonable skill and care in preparing and submitting applications. However, we cannot guarantee planning approval and accept no liability for refusal or conditions imposed by the relevant planning authority. Planning fees are the responsibility of the Customer.
9. Intellectual Property
All intellectual property rights in designs, drawings and creative work produced by Indigo Projects Limited (trading as Indigo Sign Solutions) remain our property unless expressly assigned in writing. The Customer is granted a licence to use such designs solely for the purposes of the project.
The Customer grants us a non-exclusive licence to use their brand assets, logos and artwork solely for the purpose of fulfilling the Contract.
We may use images of completed projects in our marketing materials, portfolio and website unless the Customer requests otherwise in writing prior to commencement.
10. Limitation of Liability
Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.
Subject to the above, our total liability to the Customer for all losses arising under or in connection with any Contract shall not exceed the total value of that Contract. We shall not be liable for any indirect, consequential or economic losses including loss of profit, loss of business or loss of goodwill.
11. Force Majeure
We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, extreme weather, strikes, supply chain disruption, pandemic, government restriction or failure of utilities or infrastructure.
12. Termination
We may suspend or terminate a Contract with immediate effect if the Customer fails to make payment when due, becomes insolvent, ceases to trade, or commits a material breach of these Terms that is not remedied within 14 days of written notice.
13. Governing Law
These Terms and any Contract shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to These Terms
We reserve the right to update these Terms from time to time. The current version will always be available on our website. Continued use of our services after publication of updated Terms constitutes acceptance of those Terms.
